Section 250MA — Corporations Act 2001: Requirements for a special resolution

For a resolution of a company to have effect as a special resolution: (a) notice given under section 249J of the meeting at which the resolution is proposed must include the information required by paragraph 249L(1)(c) in relation to the resolution; and (b) the resolution must be passed by at least 75% of the votes cast by members who are entitled to vote on the resolution; and (c) the resolution must be otherwise valid.
