Section 361 — Companies Act 1993: Registrar may direct transfer

361 Registrar may direct transfer (1) Subject to this section, the Registrar may direct the transfer of part of the New Zealand register and of any record relating to a company from one place in New Zealand to another place in New Zealand. (2) Except where the company has requested the transfer, the Registrar must not direct the transfer of any part of the New Zealand register or of any record relating to a particular company unless written notice of the proposed transfer is given to the company. (3) The Registrar must give notice in the Gazette of any transfer under subsection (1) of this section as soon as practicable after the transfer is made. (4) Nothing in subsections (2) and (3) of this section applies to the transfer of part of the New Zealand register or of any record relating to a particular company from one place in New Zealand to another place in New Zealand if— (a) The New Zealand register is kept by means of a device or facility referred to in section 360(4) of this Act; and (b) The transfer is of the whole of the register kept in that place. (5) All the records relating to a particular company must be kept in the same place. Compare: 1955 No 63 s 7
