Section 72 — Companies Act 1993: Disclosure document

72 Disclosure document For the purposes of section 71 of this Act, a disclosure document is a document that sets out— (a) The nature and terms of the redemption of the shares, and if the option to redeem the shares is to be exercised in relation to specified shareholders, the names of those shareholders; and (b) The text of the resolution required by section 71 of this Act, together with such further information and explanation as may be necessary to enable a reasonable shareholder to understand the nature and implications for the company and its shareholders of the proposed redemption.
