Section 13 — Property Law Act 2007: Contracts and other obligations entered into by bodies corporate

13 Contracts and other obligations entered into by bodies corporate (1) This section applies to any contract or other obligation entered into by a body corporate if— (a) the body corporate is incorporated by or under the law of New Zealand; or (b) the contract or other obligation is entered into in New Zealand; or (c) the proper law of the contract or other obligation is the law of New Zealand. (2) A contract or other obligation may be entered into as follows: (a) an obligation (which, if entered into by an individual, would under New Zealand law be required to be by deed) may be entered into by deed or instrument executed in accordance with section 9(3), (4), or (5) : (b) an obligation (which, if entered into by an individual, would under New Zealand law be required to be in writing) may be entered into on behalf of the body corporate in writing by a person acting under the body corporate’s express or implied authority: (c) an obligation (which, if entered into by an individual, would not under New Zealand law be required to be in writing) may be entered into on behalf of the body corporate in writing or orally by a person acting under the body corporate’s express or implied authority. (3) This section prevails over any other enactment.
