Decision
In accordance with section 20ZA Landlord and Tenant Act 1985 (“the Act”) the Tribunal grants unconditional retrospective dispensation from the consultation requirements of Section 20 of the Act in regard to the Applicant entering into a long-term qualifying agreement for the provision of buildings insurance.
Background
1. The Applicant seeks retrospective dispensation under Section 20ZA of the Landlord and Tenant Act 1985 (“the Act”) from the consultation requirements imposed on the landlord by Section 20 of the 1985 Act. The application was received on 5 June 2024 and relates to a qualifying long- term agreement for the provision of buildings insurance.
2. Tribunal directions were issued on 13 June 2024 indicating that the application would be determined on the papers without a hearing in accordance with rule 31 of the Tribunal Procedure Rules 2013 unless a party objected in writing within 14 days or if a Respondent opposed the application, in which case the matter would be set down for a hearing. If so, the Applicant would be responsible for preparing and submitting a hearing bundle to the Tribunal by 25 July 2024.
3. On 10 July 2024 the Respondents sent to the Applicant a joint, undated, letter of objection to the application. The objection was forwarded to the Tribunal on 11 July 2024.
4. The matter was set down for a final hearing on 1 August 2024 at 2.00pm.
5. The Tribunal was supplied with an electronic bundle extending to 207 pages. References in this determination to page numbers in the paginated bundle are indicated as [ ].
6. These reasons address in summary form the key issues raised by the application. They do not recite each and every point raised or debated. The Tribunal concentrates on those issues which, in its view, go to the heart of the application.
7. Where the Tribunal finds a particular matter as a fact, it does so on the basis that it is confident that on the available evidence that fact is established or proven on the balance of probabilities.
Hearing
8. The hearing convened with the Tribunal sitting at Havant Justice Centre. The parties joined the hearing remotely via the Tribunal’s online platform CVP. The Applicant was represented by [NAME_16], with her instructing solicitor present. Also present for the Applicant was [NAME_17] who spoke to his witness statement. Neither Respondent were in attendance and nor had the Tribunal received any communication to say that they would not be in attendance.

9. The hearing was recorded and that stands as the record of proceedings.
Submissions & Evidence
10. The Applicant intended to enter into a long-term qualifying agreement in relation to the provision of buildings insurance across its portfolio of approximately 15,000 properties.
11. In accordance with section 20 of the Landlord and Tenant Act 1985 the Applicant undertook consultation with, it believed, all affected lessees. A Notice of Intention to enter into a long-term qualifying agreement was issued on 4 September 2023 [110].
12. In response, the Applicant received several questions and observations from lessees, each of which was responded to, as evidenced in tabular form within the bundle [119-127].
13. The findings of the consultation process were relayed to the procurement team and to the insurance manager, who were tasked with inviting tenders and selecting appropriate providers for inclusion within the Notice of Estimates.
14. Following required practice, tender documents were advertised through the ‘Find a Tender’ government portal, following which three tenders were received, with one firm later withdrawing their interest.
15. On 20 February 2024 the Applicant issued a Notice of Proposal to lessees which included details of the tender process, a summary of the observations to the Notice of Intention, and the Applicants own scoring of the bids. [142]
16. Buildings insurance cover was subsequently placed with [COMPANY_39] with effect from 1 April 2024, the placement of which resulted in an entry on the Respondent’s service charge account of £481.68. [203]
17. Shortly after the completion of the consultation process it was found that 1,311 properties, these being leasehold houses, had not been included in the process. An application for retrospective dispensation was submitted to the Tribunal and one objection, from the Respondents, was received.
18. The Respondents objections were set out in a letter, addressed to ‘whom it may concern’ and can be summarised as follows:
i. Dispensation should not be granted to a large company who have made a major mistake and failed in their duty under statute. Had a similar mistake been made by the Respondents it is unlikely that dispensation would be granted. ii. [NAME_1]’s failure to consult is indicative of repeated poor service. iii. The incurred insurance costs are double that at which the Respondents could obtain individual house insurance, such cover including contents insurance.

iv. The Applicant failed to respond to a query concerning the increase in costs for almost 3 months and refused to permit the Respondent to place their own alternative, cheaper, cover. v. The increased insurance costs would have been challenged by the Respondents, particularly in view of other costs dramatically increasing. vi. The Respondents hold additional information in support of their objection.
19. In both the witness statement of [NAME_17] and in oral submissions, the Applicant accepts that the omission of the leasehold houses from the consultation process was a human error and one which [NAME_17] sought to rectify at the earliest opportunity.
20. For completeness, [NAME_15] referred the Tribunal to the lease entered into by the Respondents, in relation to a property known as 21 [ADDRESS], [POSTCODE], whereby the Applicant granted the Respondents a 990-year shared ownership lease by way of an agreement dated 16 December 2022.
21. By virtue of Clause 7 of the lease, the Respondents covenanted to pay a fair and proper proportion of the service charge attributable to the premises and the landlord covenanted to insure the premises (at clause 4.2) for which it could charge a service charge (at clause 7.4.1)
22. [NAME_15] argued that, irrespective that the Applicant was obliged to insure the properties, it would, having regard to its duty to all lessees under similar covenants, be unmanageable and unworkable to adopt a piecemeal approach to insurance across each development by permitting lessees of houses to procure individual buildings insurance. Furthermore, that such an approach would ultimately increase the costs of managing the development, as each policy would require verification by the Applicant as to its adequacy.
23. Turning next to the grounds of the Respondents’ objections, [NAME_15] argued that the Respondents failed in their submissions to identify any relevant prejudice from the approach undertaken by the Applicant. The Respondents had neither shown that they would have made any observations or undertaken action any different to the observations raised by other lessees nor had they provided for examination the alternative quotation to which they referred, irrespective that the cost of the insurance policy is immaterial to the question as to whether the Respondents have been prejudiced by the failure to consult and would, if so required, form an application to the Tribunal under section 27A of the Landlord and Tenant Act 1985.
24. In accordance with the principles laid out by Lord Neuberger in Daejan Investments Limited v Benson [2013] UKSC 14 [NAME_15] stated that the Respondents had failed to demonstrate any relevant prejudice that they would suffer if unconditional dispensation was granted to the Applicant. Furthermore, that in choosing not to attend the remote hearing the Respondents had failed to afford the Applicant an opportunity to cross examine their evidence or to assist the Tribunal in understanding their

position.
The Law
25. The relevant section of the Act reads as follows:
S.20ZA Consultation requirements: Where an application is made to a Leasehold Valuation Tribunal for a determination to dispense with all or any of the consultation requirements in relation to any qualifying works or qualifying long-term agreement, the Tribunal may make the determination if satisfied that it is reasonable to dispense with the requirements.
Discussion
26. In order to grant the application, the Tribunal must be satisfied under s.20ZA of the Act that it is reasonable to dispense with the consultation requirements. In reaching its decision, the Tribunal has taken account of all of the evidence submitted and the objections of the first and second Respondents.
27. In considering this matter the Tribunal has had regard to the decision of the Supreme Court in [COMPANY_19] v [NAME_20] and others [2013] UKSC 14 (“Daejan”) and the guidance to the Tribunal that in considering dispensation requests, it should focus on whether tenants are prejudiced by the lack of the consultation requirements of section 20. In summary, the Supreme Court noted the following:
i. The main question for the Tribunal when considering how to exercise its jurisdiction in accordance with section 20ZA is the real prejudice to the tenants flowing from the landlord’s breach of the consultation requirements.
ii. The financial consequence to the landlord of not granting a dispensation is not a relevant factor. The nature of the landlord is not a relevant factor.
iii. Dispensation should not be refused solely because the landlord seriously breached, or departed from, the consultation requirements.
iv. The Tribunal has power to grant a dispensation as it thinks fit, provided that any terms are appropriate.
v. The Tribunal has power to impose a condition that the landlord pays the tenants’ reasonable costs (including surveyor and/or legal fees) incurred in connection with the landlord’s application under section 20ZA (1).
vi. The legal burden of proof in relation to dispensation applications is on the landlord. The factual burden of identifying some “relevant” prejudice that they would or might have suffered is on the tenants.

vii. The Supreme Court considered that “relevant” prejudice should be given a narrow definition; it means whether non-compliance with the consultation requirements has led the landlord to incur costs in an unreasonable amount or to incur them in the provision of services, or in the carrying out of works, which fell below a reasonable standard, in other words whether the non- compliance has in that sense caused prejudice to the tenant.
viii. The more serious and/or deliberate the landlord’s failure, the more readily a Tribunal would be likely to accept that the tenants had suffered prejudice.
ix. Once the tenants had shown a credible case for prejudice, the Tribunal should look to the landlord to rebut it.
28. Thus, the correct approach to an application for dispensation is for the Tribunal to decide whether and, if so, to what extent, the Respondents would suffer relevant prejudice if dispensation was granted. The factual burden is on the Respondents to identify any relevant prejudice which they claim they might suffer.
29. The Tribunal now turns to the facts of this application.
30. The Tribunal finds that the Applicant undertook statutory consultation across its portfolio in relation to the placing of insurance but omitted, by admission, to consult lessees of some 1,311 houses. The Tribunal accepts that this was as a result of human error and finds that the original intention was to consult all lessees.
31. The Tribunal finds that, in accordance with its statutory obligations, the Applicant responded to a number of observations and questions raised by those lessees who were consulted.
32. The Tribunal finds that the Applicant undertook a procurement process having offered the contract through a government portal.
33. The Tribunal finds that the Respondent’s objections amount to complaints concerning the Applicant’s perceived delivery of poor service, an attempt to impose a punitive sanction on the Applicant and general concerns over costs, coupled with a frustration at having found themselves bound by a covenant whereby they are prevented from securing their own buildings insurance.
34. Whilst such points are clearly of concern to the Respondents, they are not directly relevant to the application before us. In this matter the Tribunal is solely restricted to the question of whether the consultation period may be dispensed with for the reasons set out by the Applicant in their evidence.
DECISION
35. In reaching its decision the Tribunal took into account that the Applicant undertook statutory consultation across the majority of its property portfolio, albeit omitting the properties subject to this application, and

that the Applicant responded to lessees’ observations in such regard. The Applicant also followed a robust procurement process. The Tribunal, whilst carefully considering the Respondents’ objections, found that the Respondents have failed to prove any real prejudice flowing from the Applicant’s failure to consult.
36. The Respondents have not demonstrated what action they would have taken had they had the opportunity to do so and neither have they proven that they identified alternative insurance cover at a lower cost. Their submissions refer to additional evidence being available. However, such information was neither submitted for consideration by the Applicant or Tribunal, and neither did the Respondents attend the hearing to provide oral evidence on the matter.
37. The Tribunal therefore finds it reasonable, in accordance with Section 20ZA of the Landlord and Tenant Act, to grant unconditional retrospective dispensation from the consultation requirements of Section 20 of the Act in regard to the Applicant entering into a long-term qualifying agreement for the provision of buildings insurance.
38. In granting dispensation, the Tribunal makes no determination on whether the costs of the works are reasonable or payable. If any leaseholder wishes to challenge the reasonableness of the costs arising from the relevant works, then a separate application under Section 27A of the Landlord and Tenant Act 1985 should be made.
RIGHTS OF APPEAL
1. A person wishing to appeal this decision to the Upper Tribunal (Lands Chamber) must seek permission to do so by making written application by email to [EMAIL] to the First-tier Tribunal at the Regional office which has been dealing with the case.
2. The application must arrive at the Tribunal within 28 days after the Tribunal sends to the person making the application written reasons for the decision.

3. If the person wishing to appeal does not comply with the 28 day time limit, the person shall include with the application for permission to appeal a request for an extension of time and the reason for not complying with the 28 day time limit; the Tribunal will then decide whether to extend time or not to allow the application for permission to appeal to proceed.
4. The application for permission to appeal must identify the decision of the Tribunal to which it relates, state the grounds of appeal, and state the result the party making the application is seeking.
