Section 108 — Canada Business Corporations Act: Ceasing to hold office

A director of a corporation ceases to hold office when the director dies or resigns; is removed in accordance with section 109; or becomes disqualified under subsection 105(1). A resignation of a director becomes effective at the time a written resignation is sent to the corporation, or at the time specified in the resignation, whichever is later.
